Fathom and Bed Bath & Beyond have terminated their proposed merger, citing the companies’ respective share-price valuations as the central factor behind the decision.
The move ends a transaction that would have combined the businesses under terms negotiated before changes in their market valuations altered the balance of the deal. HousingWire reported that the parties elected to walk away rather than proceed under the existing framework.
Neighborhood will retain its stake in tZERO and other digital-asset holdings. Those assets will therefore remain outside Fathom’s corporate structure following the terminated transaction.
For investors, brokers and other property-market participants, the outcome leaves Fathom operating independently while underscoring how public-market pricing can reshape strategic transactions before closing.
